1. ACCEPTANCE OF TERMS

By creating an account, making a purchase, or otherwise using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We may modify these Terms at any time with thirty (30) days' notice to users via email or platform notification.

2. ELIGIBILITY AND ACCOUNT REQUIREMENTS

Age Requirements: You must be at least 13 years old to create an account. If you are under 18 years old, you confirm that you have obtained parental permission to make purchases and use our Platform.

Account Limitations: Each person may maintain only one account. Creating multiple accounts is prohibited and will result in account termination.

3. PLATFORM DESCRIPTION

GUSU operates a group buying marketplace that connects buyers with sellers offering premium products at discounted prices through collective purchasing power. Our Platform facilitates group purchases where multiple buyers combine their orders to unlock significant discounts (typically 20-50% off retail prices).

4. GROUP BUY MECHANICS

Multi-Product Group Buys: Sellers may group multiple products into a single group buy, allowing participants to purchase different items from the same seller while contributing toward the same minimum threshold.

Payment Holding: All payments are securely held by our payment processor, Stripe, during the group buy period. We do not process payments until group buys succeed.

5. PAYMENT TERMS

Commission: We charge sellers a 10% commission on successful group buy sales.

Refunds: If a group buy fails to meet minimum requirements, full refunds are automatically issued within 2-3 business days to your original payment method.

Payment Processing: All transactions are processed through Stripe. By using our Platform, you agree to Stripe's terms of service.

Currency: All transactions are conducted in US dollars.

6. USER CONTENT AND INTELLECTUAL PROPERTY

Content License: When you post reviews, photos, or other content on our Platform, you grant us a non-exclusive, royalty-free, worldwide license to use, display, reproduce, modify, and distribute such content for platform operation and marketing purposes. You retain ownership of your content.

Content Standards: All user content must be authentic, relevant, and appropriate. We reserve the right to remove any content that violates our community standards or these Terms.

Intellectual Property: You may not use our Platform to infringe upon the intellectual property rights of others. We respect intellectual property rights and expect our users to do the same.

7. PROHIBITED CONDUCT

You may not:

• Create multiple accounts or share accounts
• Use automated systems to manipulate group buy participation
• Post false, misleading, or inappropriate content
• Attempt to circumvent platform fees or payment systems
• Engage in fraudulent activity or payment disputes without valid cause
• Use our Platform for any illegal purposes
• Harass, threaten, or abuse other users or our staff

Enforcement: We reserve the right to issue warnings for minor violations and immediately terminate accounts for serious violations, including but not limited to fraud, multiple account creation, or abusive behavior.

8. SELLER OBLIGATIONS

Product Authenticity: Sellers must guarantee that all products are authentic and accurately described.

Fulfillment: Sellers are responsible for shipping products to buyers within reasonable timeframes after successful group buys.

Quality Standards: All products must meet the quality standards represented in listings.

Verification: We verify seller legitimacy through our internal review process. Sellers must provide accurate business information and authorization to sell listed brands.

9. PLATFORM RESPONSIBILITIES AND LIMITATIONS

Facilitation Only: We facilitate connections between buyers and sellers but are not responsible for the actual sale, quality, or delivery of products.

Seller Issues: While sellers are primarily responsible for product fulfillment, we will assist in investigating and resolving disputes between buyers and sellers.

No Guarantees: We do not guarantee that group buys will succeed, that products will meet your expectations, or that sellers will fulfill their obligations, though we work diligently to maintain platform quality.

10. DISPUTE RESOLUTION

Binding Arbitration: Any dispute arising out of or relating to these Terms or your use of our Platform shall be resolved through binding arbitration administered by the American Arbitration Association, except that disputes under $10,000 may be brought in small claims court.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits.

Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

We may terminate or suspend your account at any time, with or without notice, for violation of these Terms or for any reason we deem necessary to protect our Platform, users, or business interests.

Upon termination, your right to use our Platform ceases immediately, though provisions regarding payment obligations, content licensing, dispute resolution, and limitation of liability shall survive termination.

14. GENERAL PROVISIONS

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and GUSU.inc regarding your use of our Platform.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Assignment: We may assign these Terms to any successor entity. You may not assign your rights under these Terms without our written consent.

Geographic Scope: Our Platform is currently available only to users located in the United States.
