This website is operated by GUSU Inc. ("GUSU"). Throughout this website, the terms "we," "us," and "our" refer to GUSU. We offer this website, including all information, tools, products, and services available from this website (our "Service") to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated herein.

By visiting this website at www.gusu.co, you engage in our Service and enter into an agreement to be bound by these Terms of Service ("Terms"), including any additional terms, conditions, and policies referenced herein. These Terms apply to all users of our Service, including without limitation users who are browsers, customers, and contributors of content.

Please read these Terms carefully before accessing or using our Service. If you do not agree to all the Terms, you may not access this website or use our Service.

Section 1 – General Terms

By agreeing to these Terms, you represent that you are at least 13 years of age. If you are between the ages of 13 and 18, you represent that you have obtained parental or legal guardian permission to make purchases and use our Service. You warrant that you have all necessary rights, power, and authority to agree to these Terms and perform your obligations hereunder.

Each person may maintain only one account. Creating multiple accounts is prohibited and may result in account termination. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates to our website with thirty (30) days' notice to users via email or platform notification. Your continued use of our Service following the posting of any changes constitutes acceptance of those changes.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of our Service without express written permission by us.

Section 2 – About Our Service

GUSU operates a group buying platform that enables communities of shoppers to collectively unlock wholesale pricing on premium products sourced directly from independent and artisan brands. Unlike traditional retail, GUSU does not maintain standing inventory. We only place wholesale purchase orders with brands after a group buy successfully reaches its minimum member goal. Once that threshold is met, we procure the products, perform a quality inspection, and ship them directly to each participating member. GUSU is the seller of record on all transactions.

Our platform is currently available only to users located in the United States. All transactions are conducted in US dollars.

Section 3 – How Group Buys Work

Each product listing on our platform is offered through a "Group Buy," which is a time-limited collective purchasing event. When you join a Group Buy, you reserve your spot at the discounted group price. We place a temporary hold on your payment method to secure your reservation — your card is not charged until the Group Buy succeeds.

Once the first member joins a Group Buy, a 6-day window begins for the community to reach the minimum number of members required. If that minimum is met within the 6-day window, the group price is considered "unlocked," and a final 24-hour window opens during which additional members may join for any remaining available spots. Once the maximum capacity is reached, the Group Buy closes. If the minimum goal is not met within the 6-day window, the Group Buy expires and all payment holds are automatically released — no action is required on your part.

To help members reach the goal faster, any product from the same "set" as your selected item contributes toward the same group minimum. Members do not need to purchase the identical product; any item within the same set counts toward the shared goal, allowing everyone to choose the specific piece they want while helping the entire group unlock the price together.

Spots are filled on a first-come, first-served basis. If a Group Buy reaches its maximum capacity, it will close and a new Group Buy for the same product will typically open shortly after. You can find previously expired Group Buys under the "Failed" tab on your Orders page, where you can rejoin a new round.

Because the brands we source from are often independent designers and small-batch manufacturers, we set maximum capacities for each Group Buy to ensure production volumes remain manageable. This also helps preserve the craftsmanship and exclusivity of each item.

Section 4 – Payment Terms

When you join a Group Buy, we place a temporary authorization hold on your payment method to reserve your spot. If you join before the group price has been unlocked, your card is not charged until the minimum member goal is reached. If you join after the group price has already been unlocked, your card is charged immediately upon checkout.

If a Group Buy expires without meeting its minimum goal, all payment holds are automatically released within a few hours and no charge will appear on your account. If a Group Buy succeeds and your payment is processed, but you later return a qualifying item under our return policy, refunds will be issued to your original payment method within 5–10 business days after inspection. We are unable to issue refunds to a different card, account, or payment method than the one originally used.

All transactions are processed through Stripe. By using our Service, you agree to Stripe's terms of service. Prices are subject to change without notice, and we reserve the right to modify, suspend, or discontinue any product offering at any time.

Shipping costs vary based on product weight and delivery address and will be displayed clearly before you confirm your reservation. Like the product price, your shipping charge is held, not collected, until the Group Buy succeeds.

Section 5 – Cancellations and Leaving a Group Buy

You may leave a Group Buy at any time before the group price has been unlocked by clicking "Leave Group Buy" on your Orders page. Doing so will immediately release your payment hold with no penalty. Once the group price has been unlocked, you will no longer be able to leave, since the confirmed member count is what GUSU uses to determine the wholesale order quantity placed with the brand.

We reserve the right to cancel any order or Group Buy at our sole discretion. In the event we cancel a Group Buy after payments have been collected, full refunds will be issued to all affected members within 5–10 business days.

Section 6 – Shipping and Order Fulfillment

Because GUSU does not hold pre-purchased inventory, production and fulfillment begin only after a Group Buy successfully closes. Once the 24-hour final window concludes, we place our wholesale order with the brand. After receiving the products, our team performs a quality inspection before shipping orders to members. You will receive an email notification once your order has been dispatched.

We currently ship within the United States only via USPS Priority Mail with insurance coverage. A signature is required upon delivery. Transit time is estimated at 1–3 business days from dispatch. We do not ship to P.O. boxes, APO, or FPO addresses. We do not currently offer international shipping or expedited shipping options.

Occasionally, a carrier may mark a package as "Delivered" before it physically arrives. If you receive a delivery notification but have not received your package, please allow up to 24 hours and check with neighbors or your building's mailroom. If the package has not arrived after 24 hours, please contact us through your Order page (Order → Order ID → Get Help).

If your order is lost in transit or arrives damaged, please contact our support team immediately and we will work to resolve the issue. GUSU handles all logistics issues directly.

Section 7 – Returns and Refunds

To maintain the deeply discounted wholesale pricing that Group Buys make possible, all successfully completed sales are generally considered final. We do not offer exchanges. We strongly encourage you to review all product specifications, sizing, and details before joining a Group Buy. If you have questions prior to purchasing, you may use the "Ask a Question" feature on any product page.

We honor returns for items that arrive damaged or defective. To initiate a return, you must submit a return request through your Orders page within 48 hours of delivery, along with clear photos documenting the damage or defect. Our team will review your submission to determine the cause of the issue. If the defect occurred during our preparation or packaging process, we will provide a prepaid return label at no cost to you. Issues resulting from carrier handling or customer handling may not qualify for a refund.

Once a returned item is received and passes inspection, your refund will be processed to your original payment method. Please allow 5–10 business days for the funds to appear in your account. We will send you an email confirmation once your refund has been initiated.

Section 8 – Accuracy, Completeness, and Timeliness of Information

We make every effort to ensure that the information on our Service is accurate and current, but we are not responsible if information is not accurate, complete, or current. Product descriptions, pricing, images, and availability are subject to change. We reserve the right to correct errors, inaccuracies, or omissions at any time without prior notice, including after you have submitted an order.

We have made every effort to display product colors and images as accurately as possible. We cannot guarantee that your device's display of any color or image will be accurate.

Section 9 – User Content and Intellectual Property

When you post reviews, photos, or other content on our Service, you grant us a non-exclusive, royalty-free, worldwide license to use, display, reproduce, modify, and distribute such content for platform operation and marketing purposes. You retain ownership of your content. All user content must be authentic, relevant, and lawful. We reserve the right to remove any content that violates our community standards or these Terms.

The use of our Service does not transfer to you any intellectual property owned by us or third parties. All trademarks, service marks, graphics, and logos used in connection with our Service are trademarks or registered trademarks of GUSU or our licensors. You may not use our Service to infringe upon the intellectual property rights of any party.

Section 10 – Prohibited Uses

In addition to other prohibitions set forth in these Terms, you are prohibited from using our Service or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any applicable laws or regulations; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, intimidate, or discriminate based on any protected characteristic; (f) to submit false or misleading information; (g) to upload or transmit viruses or other malicious code; (h) to collect or track the personal information of others; (i) to use automated systems to manipulate Group Buy participation; (j) to create multiple accounts; (k) to attempt to circumvent our payment systems or engage in fraudulent payment disputes without valid cause; or (l) to interfere with or circumvent the security features of our Service.

We reserve the right to issue warnings for minor violations and to immediately terminate accounts for serious violations, including but not limited to fraud, multiple account creation, or abusive behavior. We reserve the right to refuse our Service to anyone for any lawful reason at any time.

Section 11 – Personal Information

Your submission of personal information through our Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. You understand that your content (not including payment information) may be transferred unencrypted and may involve transmissions over various networks. Payment information is always encrypted during transfer.

While you can see the total number of members in a Group Buy, your personal information, name, and payment details remain completely private and are never shared with other users.

Section 12 – Disclaimer of Warranties; Limitation of Liability

THE SERVICE AND ALL PRODUCTS AND SERVICES DELIVERED TO YOU THROUGH THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE DO NOT GUARANTEE THAT ANY GROUP BUY WILL SUCCEED OR THAT PRODUCTS WILL MEET YOUR EXPECTATIONS.

IN NO CASE SHALL GUSU INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF OUR SERVICE OR ANY PRODUCTS PROCURED THROUGH OUR SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS RELATED TO OUR SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Section 13 – Indemnification

You agree to indemnify, defend, and hold harmless GUSU Inc., its officers, directors, employees, affiliates, agents, contractors, service providers, and licensors from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms, your violation of any law, or your violation of the rights of any third party.

Section 14 – Termination

These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by ceasing use of our Service. If, in our sole judgment, you fail or we suspect that you have failed to comply with any provision of these Terms, we may terminate this agreement and deny you access to our Service at any time without notice. The obligations and liabilities of the parties shall survive the termination of this agreement, including provisions regarding payment obligations, content licensing, dispute resolution, and limitation of liability.

Section 15 – Governing Law and Disputes; Waiver of Class Actions

The formation, interpretation, and performance of these Terms and any disputes arising out of your use of the Service shall be governed by the substantive and procedural laws of the State of Delaware, without regard to its rules on conflicts or choice of law. Any dispute arising out of or relating to these Terms or your use of our Service shall be resolved through binding arbitration administered by the American Arbitration Association, except that disputes under $10,000 may be brought in small claims court. In the event of any legal action not subject to arbitration, you irrevocably consent to the exclusive jurisdiction of the state and federal courts situated in Delaware.

YOU AND WE AGREE THAT ANY LEGAL PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AND WE AGREE TO WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN SUCH AN ACTION TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. NOTWITHSTANDING THE FOREGOING, YOU AND WE RETAIN THE RIGHT TO PARTICIPATE IN A CLASS-WIDE SETTLEMENT. This section shall survive the cancellation or expiration of these Terms.

Section 16 – Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GUSU Inc. regarding your use of our Service and supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written. If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed without affecting the validity and enforceability of any other remaining provisions. The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. We may assign these Terms to any successor entity. You may not assign your rights under these Terms without our written consent.
